The 83(b) deadline and Form 15620

The election must be filed with the IRS within 30 days of the transfer of the shares. The deadline is absolute.

Counting the days

Day one is the day after the grant or exercise date. Weekends and holidays count. If day 30 is a weekend or holiday, it rolls to the next business day.

Form 15620

The IRS now publishes a standardised Section 83(b) form. Using it removes the guesswork from drafting your own statement.

Proof of filing

Send by certified mail with return receipt, keep the stamped copy, and give a copy to your employer. Certified mail is your only evidence of timeliness.
